WPS ~ 2007/8 Rules

1) The Society shall be called “The Wolverhampton Photographic Society”.

2) Membership of the Society is deemed to be an undertaking to comply with and abide by the following rules.

3) The object of the Society shall be to further the study and practice of photography in all its aspects.

4) The Society’s programme shall start in September each year. Summer activities may be held at the discretion of the Committee.

5) Annual subscriptions shall be fixed for the following year at each Annual General Meeting. Subscriptions fall due on the 1st September. Until subscriptions are paid members shall be considered as visitors. A weekly entrance fee shall be levied at the discretion of the Annual General Meeting.

6) Membership shall be open to all people interested in photography - both amateur and professional.

7) Visitors and Members’ Guests are welcome to attend meetings on payment of a weekly fee – the amount of which to be decided at the Annual General Meeting.

8) Officers of the Society shall consist of the following: - Immediate Past Chairman, Chairman, Chairman Elect, Treasurer, General Secretary, Programme Secretary, Competition Secretary, Minutes Secretary and Publicity Officer.

9) The affairs of the Society shall be managed by a General Committee consisting of the afore named nine Officers of the Society plus no more than three elected or co-opted additional Committee members. Persons must have been members of the Society for at least two full consecutive years at the date of the Annual General Meeting before they can become members of the Committee.

10) The office of Chairman and Chairman Elect shall be for a period of two years with the Chairman Elect succeeding the Chairman. The Committee and Officers other than the Chairman, Chairman Elect and Immediate Past Chairman shall retire at the Annual General Meeting and may offer themselves for re-election without nomination. No Committee member, unless taking office, shall serve on the Committee for more than three consecutive years, subject to the discretion of the Committee and the member.

11) Nominations for the Office of Chairman and Chairman Elect shall be made by the Committee and be presented to the Annual General Meeting or Extraordinary General Meeting for approval.

12) Other nominations for Officers and Committee Members, other than for Chairman and Chairman Elect, must be received by the General Secretary duly proposed and seconded in writing not later than two weeks prior to the Annual General Meeting. Elections shall be held as necessary.

13) Voting at all meetings shall be on a majority basis. The Chairman shall have the casting vote. At Committee Meetings, six members shall form a quorum. The Committee shall consist of a maximum of twelve members.

14) The Treasurer shall keep a record of the Society’s income and expenditure and prepare a statement of accounts to be presented at the Annual General Meeting. A duly appointed member of the Society shall audit the accounts. The Society’s financial year shall end on 30th April.

15) The Annual General Meeting shall be held before the end of May each year.

16) A group of not less than ten members may request a Extraordinary General Meeting (stating the object of such a meeting), which must take place within twenty eight days of the request having been made in writing to the Secretary. The Committee may call a Special General Meeting at any time.

17) Any member or visitor under the age of sixteen years will be deemed a “Young Person”. Young Persons will be subject to all Society Rules and must be accompanied by a parent, guardian or responsible adult who will be solely responsible for the welfare, safety, actions and behaviour of the Young Person at all times. This condition will apply to all WPS meetings, events and/or outings wherever and whenever they may occur.

18) The Committee may expel any member or visitor and to refuse membership or refuse admission to any Society meeting or event to any person whose actions or conduct, in the opinion of the Committee, is or has been detrimental to the best interests, image or reputation of the Society whether occasioned at a Society meeting or elsewhere.

19) Alteration of these rules may only be made at an Annual General Meeting, or at an Extraordinary General Meeting called in accordance with rule 16.
